Standard Terms of Business & Creative Services Guidelines governed by the Indian Contract Act 1872 and Copyright Act 1957. Engagement with UpInViews via order submission or UPI remittance constitutes acceptance of these terms.
1.1 Project Commencement: Work begins strictly upon full receipt of all required raw media assets (video/audio footage, scripts, brand guidelines) and confirmed receipt of the advance deposit.
1.2 Scope Boundaries & Out-of-Scope Requests: All edits follow the initial project brief. Requests outside the agreed scope (re-records, alternative cuts, additional aspect ratios, complex animations) shall be billed separately at agreed rates.
1.3 Turnaround Time Calculation: Estimated delivery timelines calculate exclusively from the exact timestamp when all requisite assets and briefs are verified and uploaded.
2.1 Standard Revision Allowance: Each project includes up to two (2) rounds of minor revisions (e.g., caption edits, minor audio tweaks, timing cuts, slight color leveling).
2.2 Major Overhauls & Directional Shifts: Revisions necessitated by a fundamental change in creative direction, newly supplied footage post-initial cut, or altered scripts do not qualify as standard minor revisions and will be treated as new deliverables.
2.3 Deemed Acceptance: If the client does not provide formal revision notes within seven (7) consecutive business days following preview cut delivery, the deliverable is irrevocably deemed approved and remaining balance becomes due immediately.
3.1 Work-for-Hire & Ownership Transfer: Pursuant to the Copyright Act, 1957 (India), full copyright and commercial exploitation rights to the finalized renders transfer to the Client exclusively upon receipt of full final payment settlement.
3.2 Client Warranty: The Client warrants that all raw media assets, graphics, fonts, and audio supplied to UpInViews are owned or properly licensed by the Client.
3.3 Portfolio & Promotional Rights: Unless a formal Non-Disclosure Agreement (NDA) is executed prior to commencement, UpInViews retains a perpetual non-exclusive right to display finalized videos and workflow excerpts in agency portfolio reels.
4.1 Payment Milestone Structure: A mandatory 50% non-refundable deposit is required prior to project commencement. The remaining 50% balance must be remitted prior to the release of high-resolution, un-watermarked 4K master exports.
4.2 Payment Modality (Direct P2P / UPI): All settlements are processed via verified Unified Payments Interface (UPI) handles or direct digital bank transfer portals specified by UpInViews.
4.3 Default & Late Payments: Overdue balances beyond seven (7) days shall attract late payment interest at 18% per annum, calculated on a daily compounding basis until settled in full.
5.1 Archival Window: Raw project timelines, project cache files, and source media are preserved for thirty (30) calendar days following final delivery. Post-30 days, files are permanently purged.
5.2 Confidentiality: In alignment with the Information Technology Act, 2000 and the Digital Personal Data Protection Act (DPDPA), unreleased client assets remain strictly confidential.
